Difference between reimbursement and indemnification


Reimbursement: Generally applies to a two-party situation where one party is required to pay the other party a certain sum expended by that party in a certain process.

Indemnification: Generally applies to a three-party situation where a third party agrees to stand good for moneys provided by the first party to the second party in the activity. The third party (indemnifier) pays instead of the second party to the first party.
